1. Agreement
These Terms of Service (the "Terms") form a binding agreement between you (the "Customer" or "you") and Leakbase, Inc., a Delaware corporation ("Leakbase," "we," or "us"), governing your access to and use of the Leakbase platform, websites, APIs, and any related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise using the Service, you accept these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
Leakbase helps you discover lost or at-risk revenue across the third-party tools you choose to connect (collectively, "Connected Apps") — including, but not limited to, payment processors, e-commerce platforms, and CRMs. The Service may surface failed payments, dormant customers, ghosted leads, and similar signals ("Leaks"), and may help you draft and send recovery messages.
We may modify, suspend, or discontinue any part of the Service at any time. We will use commercially reasonable efforts to give advance notice of material adverse changes.
3. Accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at contact@leakbase.ai if you suspect unauthorized access.
You must be at least 18 years old and legally able to enter into these Terms. The Service is not intended for consumers — it is provided for business use only.
4. Connected Apps and Customer Data
When you connect a third-party tool (e.g., Stripe, Shopify, HubSpot), you authorize us to access, retrieve, store, and process data from that tool on your behalf ("Customer Data"). You represent that you have all rights and consents necessary to grant this authorization, including consent from any individuals whose personal data is included in Customer Data.
Connected Apps are operated by third parties, not by Leakbase. Your use of those services is governed by their own terms. We are not responsible for the content, availability, or practices of any Connected App.
5. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Send unsolicited communications, spam, or messages that violate the CAN-SPAM Act, GDPR, CASL, or any analogous law.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Probe, scan, or test the vulnerability of the Service without our prior written consent.
- Use the Service to build a competing product or to benchmark it for a competitor.
- Upload malware, run automated scrapers, or interfere with other customers' use of the Service.
6. AI-generated content
The Service uses artificial intelligence to draft suggested recovery messages and other outputs ("AI Output"). AI Output is generated automatically and may contain inaccuracies. You are solely responsible for reviewing AI Output before sending or relying on it, and for ensuring it complies with applicable law and your communications policies. Leakbase makes no warranty as to the accuracy, completeness, or suitability of any AI Output.
7. Fees, billing, and trials
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method for all fees due. Fees are non-refundable except where required by law.
Free trials, if offered, automatically convert into the corresponding paid plan at the end of the trial period unless you cancel beforehand. We will email you before any conversion takes place.
We may change prices on at least 30 days' notice. Changes apply at the start of your next billing cycle.
8. Cancellation and termination
You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of your current billing period; you will retain access until then.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or use the Service in a manner that creates risk for us or other customers.
9. Intellectual property
We own all right, title, and interest in the Service, including all software, designs, trademarks, and documentation. You retain all rights to your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely as needed to provide and improve the Service.
We may use aggregated, de-identified data derived from your use of the Service to operate, improve, and benchmark the Service. Such aggregated data will not identify you or any individual.
10. Confidentiality
Each party will protect the other's non-public information using at least the same care it uses to protect its own confidential information, and in no event less than reasonable care.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect every Leak or recover any specific amount of revenue.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages. Each party's total aggregate liability for any claim arising under or relating to these Terms will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless Leakbase and its affiliates from any third-party claim arising from (a) your Customer Data, (b) your violation of these Terms or applicable law, or (c) your communications sent through the Service.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and both parties consent to personal jurisdiction there.
15. Changes
We may update these Terms from time to time. If a change is material, we will notify you by email or through the Service at least 14 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
